What happened
Apax Partners has sold a large part of the position it built in OPENLANE during the pandemic. In mid-August, Ignition Acquisition Holdings LP, a fund advised by Apax, sold 8 million shares of the digital wholesale used-vehicle marketplace in an underwritten secondary offering. OPENLANE did not issue any new stock and received none of the proceeds.1115 BofA Securities was the sole underwriter.13 The company used the deal to buy back 727,590 of the shares from the underwriter, paying the same price the selling fund received.16
IFR reported that the shares were marketed overnight in a range of $34.70 to $35 and priced at $34.70, the bottom of that range. That was a 4.9% discount to the last sale price of $36.50 and brought in about $277.6 million.12 Apax's Form 4 filing shows a slightly lower figure of $34.36 per share, or about $274.9 million in total.6 The filing does not explain the gap. A likely explanation is that the public offer price and the price net of underwriting costs are both being reported, but that is an inference. After the sale, the Apax-linked entities still hold 8,424,728 shares indirectly.620 IFR estimates that this cut Apax's stake from 13.4% to roughly 7%.12
The headlines described this as a "private equity exit," but Apax still owns several million shares. This was a large partial exit, not a full one, and that matters for what happens next.
Not a buyout, but a rescue investment paying off
This was never a classic leveraged buyout. In June 2020, OPENLANE, then called KAR Auction Services, sold 550,000 shares of Series A Convertible Preferred Stock at $1,000 each to affiliates of Apax and Periphas Capital, raising about $550 million.26 IFR describes Apax as the lead investor in a deal meant to carry the company through the pandemic. The terms favored investors: a 7% annual dividend that OPENLANE could pay in additional shares instead of cash for the first eight quarters.12
As a structured minority stake, the investment gave Apax downside protection and income through the preferred dividend, plus upside through the conversion feature. It did not involve taking control of the company. Data provider PitchBook now lists OPENLANE as "formerly PE-backed."4
Three steps to the exit
The August sale was the last step in an unwind that took about a year.
Step one: buying back preferred stock with borrowed money. In September 2025, OPENLANE agreed to repurchase 53% of the Series A preferred for about $559 million. The deal cut Apax's preferred holdings by about half and Periphas's by about 80%.23 The price worked out to $29.70 per common share on an as-converted basis. The company described it as a negotiated, market-based buyout that also covered the value of future dividends.2429 OPENLANE paid for it with $550 million of new secured term loans. Management said that financing was substantially oversubscribed.25 According to the company's latest quarterly filing, those loans are due in October 2032.26
Step two: forcing conversion of the rest. In late May 2026, OPENLANE converted the remaining preferred stock into common shares. IFR notes the company had that right once its stock traded above $31.06 for a 20-day test period.12 Apax's filings show that Ignition converted 288,323 preferred shares into 16,424,728 common shares at a $17.75 conversion price, for a 13.4% stake.1917 OPENLANE's own disclosures put the total from that conversion at about 17 million shares, a figure that also covers Periphas's remaining holdings.11 The company has since filed a certificate eliminating the Series A preferred, and none was outstanding at the end of June.26
Step three: selling the common shares. About ten weeks after the conversion, Apax sold nearly half of its new common stake.611
The sequence has a clear logic. OPENLANE first spent debt-financed cash to retire half of an expensive, potentially dilutive security, then used its conversion right to turn the rest into ordinary shares. IFR's view is that the company got rid of a costly instrument while Apax locked in a large profit.12 The numbers back that up: the conversion price was $17.75 and the August sale cleared at about $34 to $35, roughly double.1712
Why the timing mattered
Apax sold one week after one of OPENLANE's strongest quarters in years. Second-quarter revenue rose 15% to $555 million, net income rose 33% to $44 million, and adjusted EBITDA rose 19% to $103 million.34 Gross merchandise value, the total value of vehicles sold on the platform, grew 41% to $10.5 billion. U.S. dealer-to-dealer unit volume grew about 31%.3132 Management raised full-year adjusted EBITDA guidance from $365–$385 million to $385–$400 million.3339
CEO Peter Kelly said the dealer growth came mainly from dealers moving from physical auctions to digital ones. He noted that physical-auction dealer volumes fell by a low single-digit percentage in the quarter while OPENLANE's rose about 30%.36
The quarter also had weak spots. Rising diesel prices hurt transport margins by more than 100 basis points. High used-car values slowed the flow of off-lease vehicles into OPENLANE's higher-yield sales channels. Canadian dealer GMV fell 15%.31 Free cash flow fell 32% from a year earlier to $39 million.39 The receivables of AFC, the company's dealer-finance arm, grew faster than expected and used about $45 million of cash. Management also expects U.S. dealer growth to slow in the second half as comparisons get tougher.38
The stock fell 2.7% the day after the strong results, before the offering was even announced.11 It fell another 3.2% on the day after pricing, though it still closed at $35.33, above the offer price.12 In this reading, a known seller with a large block of newly converted shares had been weighing on the stock, and selling into a beat-and-raise quarter was a sensible move for Apax.
Where the coverage diverges
One line of commentary treats the sale as a buying opportunity. A Seeking Alpha analysis argued that roughly $34 was an attractive entry point once the Apax sale and the $25 million buyback removed a major overhang. It valued OPENLANE at 11 to 12 times enterprise value to EBITDA and set a potential target of $46 per share.1 Northcoast Research has a $50 target.2
Other coverage is more cautious. A short summary on Briefglance said the sale could be routine portfolio rebalancing or a tactical exit ahead of industry changes.14 Zacks Research cut the stock from "strong-buy" to "hold" in early September.2 Simply Wall St's risk screen flags that earnings do not cover interest payments well and that shareholders have been diluted over the past year.5
Our view is that the bullish case is right about the direction but overstates how complete the change is. Apax's remaining 8.4 million shares, about 7% of the company, could come to market in another block trade, so the overhang is smaller rather than gone.612 The dilution warning is the direct result of the May conversion. The interest-coverage concern ties back to the $550 million term loan that funded the 2025 buyback.526 The cleanup simplified the capital structure, but part of the cost of the preferred stock moved onto the debt side of the balance sheet.
The improvement for common shareholders is still real. The quarterly filing shows dividends on the Series A preferred fell from $11.1 million in the second quarter of 2025 to $3.3 million in the second quarter of 2026. Net income available to common shareholders more than doubled to $37.6 million.26 TradingKey noted that part of the year-over-year EPS gain came from smaller preferred-stock claims and a lower adjusted share count, not only from operations.39 Both are true at once: the per-share numbers look better partly because the capital structure changed, not only because the business grew.
The shareholder base now
With Apax's stake shrinking, OPENLANE's ownership is spreading out among institutional investors. Dimensional Fund Advisors reported a 5.1% passive stake, or about 6.2 million shares, as of September 30.810 MarketBeat data puts institutional ownership above 99% and shows funds such as Squarepoint trimming positions in the second quarter.2
OPENLANE has also extended the funding behind its finance arm. In late September, it pushed the termination dates of its U.S. and Canadian AFC receivables facilities from January 2028 to January 2030.9 Since dealer credit drives a large share of the marketplace's volume, that reduces one funding risk now that the company no longer has a private equity sponsor.
What to watch
The stock was around $34 to $35 in September.23 The market capitalization was about $4.3 billion.2 Over the next few months, three questions matter most:
- Whether Apax sells its remaining stake, and how it does so.
- Whether U.S. dealer volumes keep taking share from physical auctions as growth comparisons get harder.
- Whether cash generation can carry the added debt while still funding buybacks.
OPENLANE has said it will report third-quarter results soon.8 Those results will show whether the company can keep growing without the preferred stock that once constrained it.
