A volatile first day for XRP's biggest corporate treasury
Evernorth Holdings, the XRP treasury company backed by Ripple, began trading on Nasdaq on October 12, 2026, under the ticker XRPN. It enters public markets with roughly 473 million XRP on its balance sheet. Evernorth did not hold a traditional IPO. It reached the exchange by merging with Armada Acquisition Corp. II, a special purpose acquisition company (SPAC) sponsored by Arrington XRP Capital Fund, and the deal closed on October 912. Nasdaq assigned XRPN to the company's Class A shares and XRPNW to its warrants, both effective on the first trading day7.
First-day trading was choppy, and outlets described it differently depending on when they checked. Cointelegraph, citing Yahoo Finance data, said the shares rose as much as 5% after the opening print4. A KuCoin flash report said the stock was up as much as 13.43% at one point and later held a gain of about 1.49%3. CoinGape described a stock that opened 17% higher, then gave back most of the move and slipped to about 5% down as traders sold the news5. These accounts agree more than they appear to: a strong open, a quick fade, and a price swinging between small gains and losses. That is hardly the clear verdict a company wants on its first day.
What investors are actually buying
The main numbers are the same across the coverage. At closing, Evernorth reported about 473 million XRP and about $300 million in gross cash proceeds before transaction expenses126. Its named backers are Arrington Capital, SBI Group, Ripple, Pantera Capital, Kraken and GSR12. Citigroup Global Markets was the sole private placement agent and capital markets advisor. Cohen and Company Capital Markets and Northland Securities advised Armada12.
Yahoo Finance broke down the cash: about $225 million from private placements, $30 million from convertible notes, and roughly $48 million left in Armada II's trust10. The trust figure stands out. A SPAC trust that has shrunk to about $48 million usually means many original SPAC shareholders redeemed their shares for cash rather than stay in the merged company. Evernorth has not described it that way, but the arithmetic shows how much of the deal relied on private investors rather than public ones.
The valuation of the XRP stack depends on the date. The Block put the 473 million tokens at roughly $672 million at closing17. By the debut, the KuCoin report valued them at about $657 million3. XRP was trading near $1.39 around the close6, so even a small move in the token shifts the treasury's dollar value by tens of millions.
How the treasury was assembled
An important detail in the filings is that most of the 473 million XRP was not bought on the open market. Crypto.news, working from proxy disclosures, reported a projected closing balance of at least 473,276,430 XRP. Ripple contributed 126,791,458 XRP, about 211.32 million XRP was linked to the sponsor, a separate related-party contribution added 50 million, and advance and delayed funding arrangements added roughly 800,000 more16. Only about 84.37 million XRP was bought with cash, for $214 million, an average of roughly $2.54 per token169.
That purchase price matters. With XRP near $1.40, the tokens Evernorth bought with cash are worth well below cost. This does not hurt the contributed tokens, which carry no comparable purchase price. Still, it shows that the treasury's cash buying happened at much higher prices than today's.
The IPO-style valuation problem
There was no IPO price, so investors are judging XRPN on two other measures: the stock's market value against the value of the XRP it holds, and how much XRP stands behind each share. Several outlets stressed that buying XRPN means owning shares in a company, not the token itself27. Crypto.news noted that shareholders cannot redeem their shares for a set amount of XRP, and that the exposure behind each share depends on the share count, liabilities, financing and transaction costs16. The Bitcoin Foundation's analysis named a discount to net asset value, dilution and weak execution as the main risks for the stock9.
How many shares exist has already caused a problem. CoinGape reported that Evernorth corrected a filing: it had issued 1,078,614 Class A shares to delayed-funding subscribers at closing, not the 663,510 first reported, which it blamed on a clerical error. Some investors read the change as dilution just before the debut5. The capital structure has other moving parts. Public warrants can be exercised at $11.50 and expire on October 7, 20317. The $30 million convertible notes mature in 2031 and become convertible one year after the effective date, at an initial rate of about $10.20 per Class A share16. Each of these could add shares later, which would reduce the XRP behind each existing share unless the company adds XRP faster.
The trading before the debut was a warning. The Block and Traders Union reported that Armada II shares climbed from about $10.68 to as high as $53, then dropped back to around $171417. CoinGape said the stock fell more than 35% in the week before the debut5. Most of the speculative swing therefore happened under the SPAC ticker before Evernorth officially listed. That helps explain why the debut itself looked more like a recovery attempt than a breakout.
A billion-dollar headline, a $300 million reality
The size of the raise is where the coverage disagrees most. When the deal was announced in October 2025, Evernorth said it expected the merger to bring in $1 billion in gross proceeds1. KuCoin described the company as backed by more than $1 billion in funding8. A company press release from October 1 also said the transaction and related private placements had raised over $1 billion. Every closing announcement, however, cites about $300 million in gross cash1216.
The two figures probably measure different things. The larger one appears to count the value of contributed XRP along with cash, while the $300 million counts only cash. That is our interpretation; the company has not laid out the reconciliation. Either way, the cash that can actually be spent is much smaller than the original headline suggested, and after transaction expenses it will be smaller still2.
Strategy: active management, not just holding
Evernorth presents itself as an active treasury rather than a passive store of tokens. CEO Asheesh Birla, a former senior Ripple executive, described the company as an actively managed XRP treasury built to support the ecosystem with the transparency that public markets expect126. Its stated tools are institutional lending, liquidity provision, DeFi yield strategies, ecosystem participation and capital markets activity. Its target areas include tokenized assets, onchain credit markets and settlement infrastructure56. Earlier plans also included running XRP Ledger validators and using Ripple's RLUSD stablecoin in DeFi6.
On debut day, the company named Hugo Jeandesboz, previously co-chief investment officer at Coinbase Asset Management, as chief investment officer. He will oversee allocation, liquidity management and the active management of its XRP holdings175. The appointment adds institutional credibility, but it also confirms that returns will depend on management decisions. Brave New Coin noted that DeFi activity brings smart-contract, liquidity and counterparty risks2.
Why it matters, and what to watch
Regulators are less of an obstacle than they were. In March, the SEC issued guidance that listed XRP among digital commodities, alongside Bitcoin and Ethereum1. XRPN also competes with spot XRP ETFs as a way to get exposure through the stock market10. The Bitcoin Foundation pointed out that the listing does not create new demand for XRP. Trading XRPN shares does not buy tokens; only fresh capital raises followed by XRP purchases would9.
Our read is that Evernorth's debut proves crypto treasury SPACs can still reach Nasdaq. It does not prove that investors will pay a premium for one. Over the next few quarters, the measure that matters is XRP per share. If Evernorth's lending and DeFi income can grow that figure faster than warrants, convertible notes and new share issuance shrink it, the stock could trade at a premium to its holdings. If not, a choppy first day may be followed by a lasting discount. The company is scheduled to ring Nasdaq's closing bell on October 1412.
